1. Agreement to Terms

By accessing or using the QLinePh platform ("Service"), whether as a restaurant owner, staff member, or customer, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

QLinePh is a QR code-enabled restaurant ordering platform that facilitates:

• Digital menu browsing via QR code scanning
• Order placement and management
• Communication between customers and restaurant staff
• Restaurant operations management
• Cash payment processing coordination

3. User Accounts and Responsibilities

For Restaurant Owners:

• You are responsible for maintaining accurate business information
• You must ensure menu items, prices, and availability are current
• You are responsible for staff account management and access control
• You must comply with all applicable food safety and business regulations
• You are responsible for order fulfillment and customer service
• You must handle cash transactions in accordance with local laws

For Customers:

• You must provide accurate information when placing orders
• You are responsible for paying for orders in cash as agreed
• You must respect restaurant policies and staff
• You agree to use the Service only for lawful purposes
• You must not misuse or tamper with QR codes

4. QR Code Usage Terms

QR codes provided through our Service:

• Are proprietary to QLinePh and participating restaurants
• Must not be copied, modified, or distributed without permission
• Should only be scanned for legitimate dining purposes
• May not be used for unauthorized access or fraudulent activities
• Are linked to specific tables and should not be relocated

5. Orders and Payments

• All orders placed through the Service are subject to restaurant acceptance
• Prices displayed are set by individual restaurants
• Payment is handled directly between customers and restaurants in cash
• QLinePh does not process financial transactions
• Restaurants are responsible for issuing receipts and handling refunds
• Order cancellations are subject to restaurant policies

6. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by QLinePh and are protected by international copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute the Service's software or content
• Use the Service for commercial purposes without authorization
• Reverse engineer or attempt to extract source code
• Remove proprietary notices or labels
• Use our trademarks without written permission

7. User Content

By submitting content to our Service (including menu items, descriptions, images, reviews), you:

• Retain ownership of your content
• Grant QLinePh a license to use, display, and distribute your content
• Warrant that you have the right to submit the content
• Agree that your content does not violate any third-party rights
• Acknowledge that you are responsible for your content's accuracy

8. Prohibited Uses

You may not use our Service to:

• Violate any laws or regulations
• Transmit malware, viruses, or harmful code
• Harass, abuse, or harm others
• Spam or send unsolicited communications
• Impersonate others or provide false information
• Interfere with or disrupt the Service
• Collect user information without consent
• Engage in fraudulent activities

9. Service Availability and Modifications

• We strive to maintain Service availability but do not guarantee uninterrupted access
• We may modify or discontinue features without notice
• We reserve the right to refuse service to anyone
• Scheduled maintenance may temporarily affect availability
• We may impose limits on certain features or restrict access

10. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW:

• We disclaim all warranties, express or implied
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for restaurant food quality or service
• We do not guarantee the accuracy of restaurant information
• Our total liability shall not exceed the amount paid to us (if any)

11. Indemnification

You agree to indemnify, defend, and hold harmless QLinePh and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or information submitted to the Service

12. Dispute Resolution

• Disputes between customers and restaurants should be resolved directly
• We may provide assistance but are not obligated to mediate
• Any disputes with QLinePh shall first be addressed through good faith negotiations
• If negotiations fail, disputes shall be resolved through binding arbitration

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for:

• Breach of these Terms
• Conduct that we believe is harmful to other users or the Service
• Legal requirements or law enforcement requests
• Extended periods of inactivity
• Our sole discretion without cause

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in the Philippines.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified through the Service or via email. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and QLinePh regarding the Service and supersede all prior agreements and understandings.
